1. Definitions
In these terms, the following definitions apply:
- "Services": The work provided by MX8 Labs as described in the Statement of Work
- "Deliverables": All documents, products, and materials developed by MX8 Labs in any form
- "Fees": The pricing outlined in the Statement of Work
- "Intellectual Property Rights": Includes patents, copyrights, trademarks, trade secrets, and software rights
2. Application of Terms
These terms and conditions apply when a customer:
- Accepts a Statement of Work
- When MX8 Labs begins service delivery
MX8 Labs' terms override any conflicting customer purchase orders or specifications.
3. Commencement and Duration
Services begin upon customer acceptance of the Statement of Work, subject to other contractual conditions.
4. Services
MX8 Labs will provide services as described in the applicable Statement of Work. We reserve the right to make changes to our services that do not materially affect their quality or performance.
5. Fees and Payment
- Fees are as set out in the Statement of Work
- Payment terms are net 30 days unless otherwise specified
- Late payments may be subject to interest charges
6. Intellectual Property
Unless otherwise agreed:
- MX8 Labs retains ownership of pre-existing intellectual property
- Deliverables are licensed to the customer upon full payment
- Customer data remains the property of the customer
7. Confidentiality
Both parties agree to keep confidential any proprietary or confidential information disclosed during the engagement.
8. Data Protection
MX8 Labs will process personal data in accordance with our Privacy Policy and applicable data protection laws.
9. Limitation of Liability
To the fullest extent permitted by law, MX8 Labs' liability is limited to the fees paid under the applicable Statement of Work.
10. Governing Law
These terms are governed by the laws of the State of Delaware, United States.
